Terms of Use

Welcome to https://duddy.io (the “Site”). These Terms of Use (“Terms”) govern your access to and use of the Site, the Duddy web application, any related mobile or desktop applications, and all tools, features, and services provided by Duddy (collectively, the “Services”).

These Terms form a legally binding agreement between you and Duddy / duddy.io (“Duddy,” “we,” “us,” or “our”). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you may not use the Services.

If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization, and “you” refers to that organization.

1. Privacy Policy

Our Privacy Policy explains how we collect, use, and disclose personal information. By using the Services, you agree to our Privacy Policy, available on the Site.

2. Changes to Terms or Services

We may modify these Terms or change, suspend, or discontinue any part of the Services at any time, at our sole discretion. Changes will be effective when posted on the Site with an updated “Last Updated” date. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.

We may restrict, suspend, or terminate access to the Services for any user at any time, with or without notice.

3. Using the Services

Duddy provides an AI enabled, visual no-code drag-and-drop platform that enables users to design, build, test, and publish iOS, Android, and Progressive Web Applications, as well as create and distribute templates and other digital assets.

Subject to your compliance with these Terms, Duddy grants you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Services for lawful purposes.

4. Eligibility and Accounts

You may use the Services only if you are legally capable of entering into a binding agreement under applicable law.

To access certain features, you must create an account. You may register using an email address and password or through supported third-party authentication providers. You agree to provide accurate, complete, and up-to-date information and to keep your account information current.

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized access or use.

5. Integrations and Third-Party Services

The Services may allow you to integrate with third-party services, including developer platforms, design tools, and content providers. Your use of third-party services is governed by their respective terms and policies. Duddy is not responsible for third-party services, content, or availability.

6. Feedback

If you provide feedback, suggestions, or ideas regarding the Services (“Feedback”), you grant Duddy a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, sublicensable, and transferable license to use, modify, and exploit such Feedback for any purpose without compensation or obligation to you.

7. Content Definitions

  • Content: Any text, graphics, images, software, code, data, audio, video, or other materials made available through the Services.
  • User Content: Content you create, upload, submit, generate, or otherwise make available through the Services, including apps, templates, configurations, and assets.

8. Ownership and Intellectual Property

Duddy and its licensors own all rights, title, and interest in and to the Services and all Content provided by Duddy, including all intellectual property rights.

You retain ownership of your User Content and any applications or templates you create using the Services, subject to the licenses granted to Duddy and any third-party rights.

You agree not to remove, alter, or obscure any proprietary notices included in the Services.

9. License Granted by You

By submitting or making User Content available through the Services, you grant Duddy a non-exclusive, worldwide, royalty-free, transferable, sublicensable license to use, host, store, reproduce, modify, display, and distribute your User Content solely for the purpose of operating, improving, and providing the Services.

You represent and warrant that:

  • You own or have all necessary rights to your User Content.
  • Your User Content does not infringe or violate any third-party rights or applicable law.

You are solely responsible for your User Content.

10. Marketplace, Wallet, and Transactions

The Services may include a marketplace and wallet system allowing users to purchase, sell, and withdraw funds related to templates, components, or other digital assets.

You agree that:

  • All transactions are final unless otherwise stated.
  • Duddy may retain transaction records for legal, accounting, and compliance purposes.
  • Duddy may suspend or reverse transactions in cases of fraud, abuse, or legal requirement.

11. Prohibited Conduct

You agree not to:

  • Violate any applicable law or regulation
  • Infringe intellectual property or privacy rights
  • Upload malicious code, viruses, or harmful content
  • Interfere with or disrupt the Services or systems
  • Attempt to gain unauthorized access to the Services
  • Reverse engineer or misuse the Services
  • Use the Services for fraudulent, deceptive, or abusive purposes
  • Impersonate another person or entity

We reserve the right to investigate violations and take appropriate action, including content removal, account suspension, or termination.

12. Apps and Data Hosting

You are responsible for maintaining backups of your apps and User Content. Duddy does not guarantee availability or retention of any content and is not responsible for loss of data due to system failure, account termination, or other reasons.

Inactive accounts may be deactivated after reasonable notice.

13. Copyright Infringement

We respect intellectual property rights. If you believe content on the Services infringes your copyright, you may contact us with a detailed notice. We may remove allegedly infringing content and terminate repeat infringers.

14. Marketing and Promotion

You grant Duddy a limited, non-exclusive right to use your name, logo, or publicly available apps or templates for the purpose of marketing and demonstrating the Services, unless you notify us otherwise in writing.

15. Analytics and Aggregated Data

Duddy may collect and use aggregated and de-identified data related to use of the Services to improve products, conduct research, and generate insights. Duddy owns such aggregated analytics data.

16. Third-Party Content and Ads

The Services may contain third-party content or links. Duddy does not endorse or assume responsibility for third-party content, services, or websites. Your use of third-party services is at your own risk.

17. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. DUDDY DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT APPS CREATED USING THE SERVICES WILL BE APPROVED OR PUBLISHED BY ANY APP STORE.

18. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DUDDY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICES.

IN NO EVENT SHALL DUDDY’S TOTAL LIABILITY EXCEED THE AMOUNT PAID BY YOU TO DUDDY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR INR 10,000, WHICHEVER IS LOWER.

19. Indemnification

You agree to indemnify and hold harmless Duddy and its affiliates, officers, employees, and agents from any claims, damages, liabilities, and expenses arising out of your use of the Services, your User Content, or your violation of these Terms or applicable law.

20. Termination

These Terms remain in effect until terminated. You may stop using the Services at any time. Duddy may suspend or terminate your access immediately, with or without notice, for any reason.

Upon termination, your right to use the Services ceases, and certain provisions of these Terms will survive, including intellectual property, disclaimers, limitations of liability, and indemnification.

21. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of India, without regard to conflict of law principles. Courts located in India shall have exclusive jurisdiction over any disputes arising out of these Terms or the Services.

22. General Terms

These Terms constitute the entire agreement between you and Duddy regarding the Services and supersede all prior agreements. If any provision is found unenforceable, the remaining provisions will remain in full force.

You may not assign these Terms without our prior written consent. Duddy may assign these Terms freely.
